Acquisition of sole ownership of a secure printing service provider

Our lawyers advised a shareholder of the leading Baltic security printing companies UAB Lodvila and UAB Grafija in connection with the buyout of all shares in the companies.

Lodvila is a leader in security printing in the Baltic States and one of only four printing houses in Lithuania which hold a license to print document forms issued by the State Documents Technological Protection Authority under the Ministry of Finance.

The transaction has significant importance in the Lithuanian secure printing market as there are only a handful of companies which are given the privilege of printing identity documents and other similar documentation. Our firm advised on the overall structure of the deal, conducted post-due diligence clean up, drafted share acquisition and transaction documents, and represented the parties of the transaction before the Lithuanian Competition Council.

The deal was closed in the end of October 2013.
