Defended entities right not to disclose its trade secrets

During a big scale shareholders conflict a minority shareholder demanded that the entity would disclose a number of documents that contain trade secrets. The minority shareholder is a direct competitor of the entity and has allegedly infringed on his duties to protect trade secrets. Therefore, the entity rejected to provide the documents to the shareholder. The shareholder submitted a request to set a fine for the general manager of the entity due to alleged infringement of the shareholder’s rights to access the information.

Vilnius district court took into account the fact that there is a number of civil cases between the entity and the shareholder, shareholders of the entity and confirmed that the shareholder should resolve her disputes in the civil cases she initiated. The general manager acted lawfully because he clearly refused to provide information and provided grounds for such a refusal.

The resolution of the Vilnius district court is subject to an appeal.
