Sale of the shares of a company engaged in IT systems

Our team has advised the IT conglomerate Mobile Financial Solutions on the acquisition of a stake in Tavo mokykla (an IT system designed for educational institutions). The stake was bought out from the majority shareholder after extensive and complicated negotiations.

The buyer as an investment holding significantly increased its portfolio in UAB Tavo mokykla up to a controling stock and, thus, became capable of taking core decions on the business of the target.

Moreover, Tavo mokykla as a target of the transaction is engaged in the development and maintenance of an IT system which shall replace the old-style methods still used for student accounting purposes. Therefore, the successful completion of the transaction shall be treated as socially significant as well, since the successful operation of Tavo mokykla is expected to increase the level of modern management of the educational institutions in Lithuania.

Our team advised the client on all stages of the sale, participated in the negotiation process, and also drafted the SPAs and other related transaction documentation, including corporate approvals and settlement documents.
