A side-step cross-border merger of Lithuanian entertainment business leaders

Motieka & Audzevičius has advised the Lithuanian entity, holding of Lithuanian entertainment business leaders engaging in entertainment (casinos) and catering business, on “a-side step merger”. After this transaction the Lithuanian entity has absorbed the Luxembourgish company.

Our team has leaded the whole cross-border merger process which involved complex pre-merger restructuring, negotiation with registrations authorities in 2 jurisdictions and dealing with the legal side of the project from the beginning till the end.

The cross-border merger has allowed the client to restructure its business located in different jurisdictions by simplifying the management structure and diminishing business administration costs.

Even though corporate migration is not recognised by the Lithuanian laws, such transaction structure has allowed achieving the same result and at the end the Luxembourgish capital has settled in Lithuania which is, as confirmed by the local registration authority, very uncommon in the Lithuanian market.
