Advised Venipak on the sale of one of the leading logistics companies in the Baltics to DHL
Our Corporate and M&A team advised Venipak on the sale of 100% of the shares in its group of companies to a major global market player – DHL. The deal marks the end of an era. After 20 years in business, Venipak’s founder has decided to step away from the parcel delivery industry and focus on other investment ventures currently being developed.
DHL, by acquiring Venipak’s companies in Lithuania, Latvia and Estonia, aims to establish its own local logistics network in the Baltic states. Venipak is expected to continue operating under its own brand.
The transaction covered the transfer of a group of companies across several jurisdictions – Lithuania, Latvia and Estonia – requiring alignment of both commercial and regulatory aspects. Completion of the deal remains subject to regulatory approval.
Our team advised the client at every stage of the transaction – from preparing the company for sale through to signing. We drafted documents, led the negotiation process, carried out legal due diligence, and helped prepare the company for sale to meet the strategic investor’s expectations. This work drew on both transactional legal expertise and strategic negotiation skills, essential to protecting the client’s interests in a complex cross-border deal.
Over the coming year, DHL plans to invest in Venipak’s employees, expand its parcel locker network, increase sorting capacity at key terminals, and upgrade IT infrastructure. This will also give Venipak’s customers access to a broader international logistics network.
