Advised Tesonet and Invalda on acquisition of leading private school and kindergartens in Lithuania
Technology group Tesonet and private equity fund INVL Private Equity Fund II, acting through their joint venture Kurianti Karta, signed an agreement to acquire Šiaurės Licėjus group of schools and kindergartens.
Our corporate law team represented the buyer from the very first stages of the deal. This involved negotiating the key terms of the transaction, preparing and finalising the necessary legal documentation, and actively participating in negotiations. A comprehensive legal due diligence was carried out during the transaction. The team also prepared and submitted the required documents and represented the client in the process of applying to the Competition Council of the Republic of Lithuania for merger clearance.
The team managed to sign this major deal within a relatively short timeframe, having first resolved a considerable number of issues relating to the entities being acquired.
This transaction is part of a broader strategy shared by Tesonet and the INVL fund. The transaction will be completed once clearance is obtained from the Competition Council of the Republic of Lithuania.
