Advised on the sale of 100% of shares in Brolis Defence Group

Our Corporate and M&A team advised the founders and shareholders of Brolis Defence Group on the signing of an agreement for the sale of 100% of the company’s shares to the Danish private equity fund Etna Fund I.

The transaction represents a significant development in the Baltic defence and deep-tech sector, highlighting the increasing strategic importance of advanced engineering capabilities in Europe.

In the context of rising EU defence budgets and a growing focus on technological sovereignty, the deal underscores Lithuania’s emergence as a trusted and competitive market for high-value innovation.

Our team acted as lead transaction lawyers for the sellers, providing comprehensive legal support throughout the process. We advised on transaction structuring, carried out detailed legal analysis, and led strategic negotiations with the investor and its advisers. Particular attention was given to balancing commercial objectives with robust legal protections, ensuring alignment between the parties and addressing the complexities inherent in cross-border M&A transactions within a regulated and strategically sensitive industry.

The signing of the transaction documents marks an important milestone, paving the way for completion subject to agreed conditions.

The planned investment by Etna Capital reflects strong confidence in both Brolis Defence Group’s technological capabilities and Lithuania’s broader business and legal environment.

This project further strengthens our track record in complex transactions, cross-border deals, and high-stakes business negotiations in sectors of strategic importance.
