Advised on the sale of a leading Lithuanian food wholesale and catering business

Our team advised the investment group ŽIA Valda in the sale of a 50% stake in Pontem, the leading Lithuanian player in the wholesale of food products and public catering. The target (Pontem) is one of Lithuania’s growth leaders, accounting for 23.5% sales growth in 2013.

The shares were bought out by the other 50% shareholder of Pontem, UAB Martesa. The transaction was financed by the Lithuanian subsidiary of Norway’s financial services group DNB.

Our client ŽIA Valda is the only Lithuanian private investment group that has initiated the public offering of two of its portfolio companies at the Warsaw Stock Exchange, these being Avia Solutions Group and Agrowill Group.

Our firm advised on the overall structure of the deal, conducted post-due diligence clean up, drafted share sale and transaction documents as well provided legal support for acquisition financing by the buyer, and represented the parties of the transaction before the Lithuanian Competition Council.
