Advised Žabolis Partners on its strategic acquisition in the digital education industry

The corporate and M&A team advised Tavo mokykla, UAB, managed by Žabolis Partners on the acquisition of a group of companies engaged in the publishing of textbooks, educational literature and digital education industries.

Our client acquired UAB Šviesa, a company engaged in the educational publishing business, encompassing a wide range of textbook/workbook kits and supplementary learning materials for schools and individual learning (preschool, primary lower and upper secondary school) in Lithuania; UAB Edukacinio turinio sprendimai, engaged in sales and distribution of educational materials, created by Šviesa, as well as foreign language materials in Lithuania business; UAB Ateities pamoka, engaged in the digital educational content platform and digital content development in Lithuania business; and Mokomasis turinys, engaged in the educational publishing business, representing a list of textbook/workbook kits for primary schools.

Our team has led the transaction starting from the first negotiations, due diligence, signing, assisting with the merger control procedures with the Competition Council and successful closing of the transaction.

This acquisition will result in creation of the leading digital education provider in Lithuania. Also, having Šviesa in the same companies group will provide even more educational content as it is Lithuania’s largest producer of vocabularies and learning literature, which shall be converted into digital format.
