Management buy-out of technology company

Our Corporate and M&A team has advised the seller on structuring management buy-out (MBO) of well-known Lithuanian information technology company UAB “Alna Software” (now – UAB “Reiz Tech”). The company delivers complex custom software for both business and the public sector.

We consulted the seller on the complex financing structure of this deal, involving specific loan instruments and other financial tools to make this MBO happen. Our lawyers also prepared the share purchase agreement, advised on conditions precedent and preparatory actions to be completed before the closing.

This MBO is another trend where companies carrying out activities in TMT sectors are being bought by the management who works for this company for the significant time period and were the key factor to its success.
