Represented United Transline in the acquisition of a controlling stake in Cargotek

Our Corporate and M&A team is proud to have supported UAB United Transline in the implementation of its strategic expansion project. The company acquired a controlling stake in UAB Cargotek, marking a significant step into the German market.

The transaction strengthened the client’s position in the transport and logistics sector through the acquisition of heavy vehicle service centers in Oedheim and Halle (Saale). It also enabled stronger vertical integration and improved service quality across the value chain.

The key challenge was to assess legal and commercial risks within a limited timeframe, align the parties’ interests, and ensure comprehensive protection of the client’s position throughout the transaction.

Our transactions team conducted thorough legal due diligence, drafted and negotiated the share purchase and shareholders’ agreement documentation, participated in strategic negotiations, and coordinated the project from structuring to completion. Potential dispute resolution risks were also assessed to mitigate exposure proactively. The transaction was successfully completed within two months, establishing a clear governance framework and a solid foundation for further growth.
